The client must comply with applicable laws and regulations when using CIDARC's services.
4. Payment Terms
The fees for CIDARC’s services will be specified in a separate contract or agreement.
Payment terms, including rates, due dates, and any applicable taxes, will be discussed before work begins.
All online payments are facilitated through the online third-party service provider, PayPal.
Direct bank deposits are only possible to customers who currently reside in Saint Lucia and has a local bank account.
Late payments may incur additional fees or suspension of services until the outstanding balance is paid.
5. Confidentiality
CIDARC agrees to maintain the confidentiality of all sensitive and proprietary information shared by the client.
The client acknowledges that CIDARC may need to share information with third-party service providers in order to perform the services but will ensure these parties maintain confidentiality (via signed agreement where applicable).
6. Intellectual Property
All intellectual property (IP) created during the provision of services, including but not limited to business plans, strategies, reports, and data analyses, will remain the property of CIDARC unless otherwise agreed upon in writing.
The client is granted a non-exclusive, non-transferable license to use the deliverables for their intended business purposes.
7. Limitation of Liability
CIDARC will not be held liable for any indirect, incidental, or consequential damages arising out of the use of its services.
While CIDARC strives for accuracy, the company cannot guarantee specific outcomes or results from the services provided.
8. Termination
Either party may terminate the agreement with prior written notice if the other party breaches the terms.
Upon termination, the client is responsible for any outstanding payments for services rendered up to the point of termination.
CIDARC reserves the right to terminate or suspend services if the client fails to comply with these Terms and Conditions.
9. Privacy and Data Protection
CIDARC will collect, store, and use client information in accordance with its Privacy Policy.
The client is responsible for ensuring they have the necessary rights to any third-party data or content provided to CIDARC for use in the consulting process.
10. Governing Law
These Terms and Conditions are governed by the laws of the jurisdiction in which CIDARC operates.
Any disputes arising from these Terms will be resolved in the appropriate court in the applicable jurisdiction.
11. Amendments
CIDARC reserves the right to modify or update these Terms and Conditions at any time.
Clients will be notified of any significant changes, and continued use of the services will signify acceptance of the updated Terms.
12. Force Majeure
CIDARC will not be held liable for any delays or failures to perform due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, pandemics, or technical failures.
13. Dispute Resolution
Any disputes between the client and CIDARC will first attempt to be resolved through mediation or negotiation.
If the dispute cannot be resolved, the parties agree to submit to binding arbitration in accordance with the rules of the chosen arbitration body.
